Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the SnapSpend mobile application (the "App") operated by SnapSpend ("us", "we", or "our").

By accessing or using the App, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access or use the App.

1. Use of the Service

1.1 Account Creation

To use certain features of the App, you must create an account. When you create an account, you must provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

1.2 Age Restrictions

The App is intended for users who are at least 13 years of age. By using the App, you represent and warrant that you are at least 13 years old. If you are under 13, please do not use the App.

2. User Content

When you upload receipts or other content to the App ("User Content"), you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such User Content in connection with providing the Services to you.

You represent and warrant that:

You own or have the necessary rights to the User Content you upload;
Your User Content does not violate the privacy rights, publicity rights, intellectual property rights, or other rights of any person;
Your User Content does not contain material that is unlawful, defamatory, obscene, or otherwise objectionable.

3. Subscriptions and Payments

3.1 Subscription Plans

SnapSpend offers both free and premium subscription plans. The features available to you depend on the type of subscription you have.

3.2 Billing

For premium subscriptions, we will bill you through the payment method you select when you sign up. Subscription fees are billed in advance on a recurring, periodic basis based on the plan you select. Your subscription will automatically renew and your payment method will be charged unless you cancel your subscription before the renewal date.

3.3 Free Trials

We may offer free trials of our premium service. If you begin a free trial, we will begin billing your payment method for the subscription fee at the end of the free trial period unless you cancel your subscription prior to the end of the trial.

3.4 Refunds

Unless required by law, subscription payments are non-refundable. However, we may provide refunds at our sole discretion.

4. Intellectual Property

The App and its original content, features, and functionality are and will remain the exclusive property of SnapSpend and its licensors. The App is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of SnapSpend.

5. Prohibited Uses

You agree not to use the App:

In any way that violates any applicable federal, state, local, or international law or regulation;
To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter," "spam," or any other similar solicitation;
To impersonate or attempt to impersonate SnapSpend, a SnapSpend employee, another user, or any other person;
To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the App;
To attempt to probe, scan, or test the vulnerability of the App or any related system or network, or to breach security or authentication measures;
To reverse engineer or attempt to extract the source code of the App.

6. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that:

The App will meet your specific requirements;
The App will be uninterrupted, timely, secure, or error-free;
The results of using the App will be accurate or reliable;
The quality of the App will meet your expectations;
Any errors in the App will be corrected.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SNAPSPEND, ITS AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE APP; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE APP; (III) ANY CONTENT OBTAINED FROM THE APP; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

8. Indemnification

You agree to defend, indemnify, and hold harmless SnapSpend, its affiliates, and their respective directors, officers, employees, agents, service providers, contractors, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the App.

9. Third-Party Links and Content

The App may contain links to third-party websites or services that are not owned or controlled by SnapSpend. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

10. Termination

We may terminate or suspend your account and access to the App immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the App will immediately cease. If you wish to terminate your account, you may simply discontinue using the App or follow the account deletion process within the App.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our App after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the App.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
